MMI Terms and Conditions

Client is purchasing the following Plan and Services listed below pursuant to this form (the “Order Form”).

Term: This agreement shall begin on the Effective Date and shall continue until terminated by either party. Each party may terminate this Agreement for any reason by giving the other party at least 30 days’ written notice. For the avoidance of doubt, the Client must withdraw funds from the relevant MetaMask Institutional wallet(s), on or about the same time as the date of notice to terminate in order to effect the termination.

Services

Consensys shall provide the applicable services, detailed in the table below, in accordance with the service level terms at Exhibit A.

ETH Staking via MMI
  1. Definitions
    1. API Base Tier” means the MMI API suite offering 3,000 requests per month, with 10 requests per second and an overage fee of $0.02.
    2. ETH2 Staking” means the staking service providers available through the ETH staking marketplace, a primitive feature in MMI, subject to the relevant staking terms and conditions.
    3. Organization” means the account the Client has registered with Consensys.
    4. Multi-Custodian Transactions” means a transaction utilizing more than one custodian.
    5. Seat” means an invite sent to an individual to join an Organization.
    6. Team” means either “small”, “medium” or “enterprise” as stated in the above table.
  2. Terms
    1. Client shall pay the monthly team subscription (the "MMI Fee”) corresponding to the highest Team tier that was utilized in that month.
    2. MMI Fees will be calculated, in accordance with Clause 2(a) above, and invoiced monthly. Consensys will make invoices available within the MMI Portfolio Dashboard within 10 business days of the end of the month detailing the MMI Fee for the preceding month.
    3. Access to the MMI Platform shall be accessed only by a Seat holder and the Seat may not be shared with any person.
    4. Client shall not permit a Seat to be shared, switched or replicated between two or more persons and shall not be used to access the MMI Platform simultaneously from two or more devices or locations.
    5. Client may utilize a single custodian only in the Small or Medium Team plans. Where Client effects a Multi-Custodian Transaction, the Enterprise plan will apply automatically for that month.
    6. When Client stakes with the ETH2 taking marketplace, a primitive and feature built-into MMI, Client will be moved to the Enterprise plan and the corresponding MMI Fee shall be applicable.
    7. Where relevant, the MMI Fee shall be prorated based upon the number of days for which it was applicable.
    8. All fees, costs and expenses will be payable in ETH, USDC or USD. Invoices are due and payable within 30 days from issuance date.
    9. Consensys reserves the right to audit and monitor the MMI Platform to ensure compliance with this Agreement.

Upon checking the box within onboarding, you agree to the terms and conditions set forth in this order form, the terms of use posted at https://consensys.net/terms-of-use/, and the privacy notice posted at https://consensys.net/privacy-policy/ (all three, collectively, the “Agreement”), from the Effective Date and for a term as specified in the relevant plans and services of this order form. In case of inconsistency, the terms in the Order Form prevail.

THIS ORDER FORM IS GOVERNED BY CONSENSYS TERMS OF SERVICE POSTED AT https://consensys.net/terms-of-use/ (THE “TERMS”), THE CONSENSYS PRIVACY POLICY POSTED AT https://consensys.net/privacy-policy/ (the “PRIVACY POLICY”), BOTH COLLECTIVELY WITH YOUR ORDER FORM, THE “AGREEMENT”Terms of Use | ConsenSys), FROM THE EFFECTIVE DATE AND FOR A TERM AS SPECIFIED IN THE RELEVANT PLANS AND SERVICES OF THIS ORDER FORM. IN CASE OF INCONSISTENCY, THE TERMS IN THE ORDER FORM PREVAIL.

CONSENSYS SOFTWARE INC. OFFERS METAMASK INSTITUTIONAL, WHICH IS AN UNHOSTED WALLET SOFTWARE, AND DOES NOT OFFER CUSTODIAL SERVICES. CONSENSYS MAKES NO REPRESENTATIONS NOR DOES IT WARRANT, ENDORSE, GUARANTEE OR ASSUME RESPONSIBILITY FOR ANY OTHER SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY ON OR AVAILABLE THROUGH THE METAMASK INSTITUTIONAL SERVICES, UNLESS OTHERWISE AGREED IN WRITING. YOU SHOULD USE YOUR JUDGMENT, EVALUATE SUCH THIRD-PARTY SERVICES INDEPENDENTLY, AND EXERCISE CAUTION WHERE APPROPRIATE.

THIS ORDER FORM SUPERSEDES ALL PREVIOUS ORDER FORMS BETWEEN THE PARTIES REGARDING THE SUBJECT MATTER HEREOF.

EXHIBIT A
SERVICE LEVEL TERMS

  1. Platform Access
    The Site website user interface and API will be available 24x7 with an up-time of 99%.
  2. Helpdesk Support
    ConsenSys will operate a ticketing system. Our Customer Support team consists of experienced technical support engineers combined with a self-service online helpdesk platform that provides the current status and full history of each support request.
  3. Deposits
    Deposit payloads generated for the Client are valid for one day.

ConsenSys commits to the time taken to first respond to a support request (“First Response Time”) based on severity of issues as per the service level objectives (SLO) listed below:
